2. Scope

These Terms & Conditions govern the use of the AshenCodex platform, AshenCodex user accounts and digital products made available through AshenCodex.

When website purchases are processed through Paddle, Paddle acts as merchant of record. Paddle Checkout presents the final amount, taxes, and applicable transaction terms before payment. Separate terms may apply to purchases through other marketplaces.

Mandatory consumer protection rights remain unaffected.

3. AshenCodex User Accounts

Certain AshenCodex features require a user account.

Users are responsible for providing accurate information during registration and for keeping their login credentials confidential.

A user account may not be transferred to another person without our prior consent.

If you believe that your account has been accessed without authorisation, please contact us promptly.

4. Digital Products

AshenCodex provides digital products and digital services that may include web-based applications, tools, dashboards, trackers and related digital functionality.

The specific features and scope of each product are described on the relevant product page or marketplace listing at the time of purchase.

Product descriptions, screenshots, previews and trial versions form part of the product information and may be relevant to the characteristics reasonably expected from the product.

5. Product Access and Activation Codes

Access to purchased AshenCodex products may be granted through an individual activation or redemption code.

A valid activation code may be redeemed once and is permanently associated with the AshenCodex account on which it is first successfully redeemed.

Activation codes may be transferred or gifted before they have been redeemed, unless otherwise stated for a specific product or offer.

After redemption, the resulting product access is personal to the account to which the code was assigned and may not be transferred to another account unless required by law or expressly agreed by AshenCodex.

6. Lifetime Access

Where a product is expressly sold with "Lifetime Access", this means a one-time purchase granting ongoing access to that specific AshenCodex product for as long as AshenCodex continues to make that product available, subject to these Terms and applicable law.

Lifetime Access does not mean access to every future AshenCodex product, service or paid feature unless this is expressly stated in the relevant offer.

Future standalone AshenCodex products may be offered separately and may require a separate purchase.

7. Trials

AshenCodex may offer free trial access to selected products.

Unless stated otherwise, a product trial may only be started once per user account and product.

Trial access ends automatically when the specified trial period expires. No payment is charged solely as a result of a free trial ending.

Trial access does not guarantee that entries created during the trial will remain available after purchasing permanent access.

8. Availability and Technical Requirements

AshenCodex products are web-based unless a product description expressly states otherwise.

Users are responsible for maintaining a compatible device, supported browser and internet connection necessary to access the service.

Temporary interruptions may occur due to maintenance, updates, security measures or circumstances outside our reasonable control.

Nothing in this section limits statutory rights relating to the availability or conformity of digital products.

9. Updates and Product Changes

AshenCodex products may receive technical, security, compatibility and functional updates.

Updates required to maintain conformity, security or agreed functionality will be provided in accordance with applicable law.

We may also improve or modify products over time where legally permitted. Where a change materially affects access to or use of a digital product, statutory consumer rights remain unaffected.

10. Permitted Use

AshenCodex products are provided for personal use unless a product description expressly permits another form of use.

Users may not misuse AshenCodex services, interfere with their security or operation, attempt to obtain unauthorised access to accounts or systems, or use the service in violation of applicable law.

Activation codes may not be reproduced, commercially resold or distributed after redemption.

11. Intellectual Property

AshenCodex and the content, designs, software, branding and other materials made available through the platform are protected by applicable intellectual property laws.

Purchasing or activating a product grants the user the right to use that product in accordance with these Terms. It does not transfer ownership of the underlying software, design, branding or intellectual property.

Statutory rights permitting particular uses remain unaffected.

12. Defects and Statutory Consumer Rights

Statutory rights relating to defective or non-conforming digital products apply without restriction.

In particular, consumers are entitled to the remedies provided by applicable law where a digital product does not meet contractual or statutory requirements.

Nothing in these Terms excludes or limits mandatory statutory warranty or consumer protection rights.

13. Liability

We are liable without limitation where liability is mandatory by law, including for intent and gross negligence and for injury to life, body or health.

In cases of ordinary negligence, liability is limited to breaches of material contractual obligations where fulfilment of those obligations is essential to the proper performance of the contract and the user may regularly rely on their fulfilment.

In such cases, liability is limited to damage that was foreseeable and typical for this type of contract, to the extent permitted by law.

Mandatory statutory liability remains unaffected.

14. Account Restrictions

We may take proportionate measures to protect AshenCodex, other users and our systems where an account is used fraudulently, unlawfully or in serious violation of these Terms.

This may include temporarily restricting access where necessary to investigate or stop misuse.

Statutory rights and existing lawful product entitlements remain unaffected.

15. Applicable Law

German law applies.

If you are a consumer and your habitual residence is in another country, this choice of law does not deprive you of mandatory consumer protection provisions that would otherwise apply in your country of residence.

16. Changes to These Terms

We may update these Terms where necessary to reflect legal requirements, changes to AshenCodex services or other legitimate operational reasons.

Changes will not retroactively remove statutory rights or product entitlements already acquired by users.

Where applicable law requires advance notice or additional rights in connection with a change to a digital product or these Terms, those requirements will be observed.
